1. Agreement Overview
By providing services or products to waba.streakmsg.com ("Platform"), the vendor ("Vendor") agrees to comply with these Vendor Terms and Conditions. These terms govern the relationship between the Platform and the Vendor and are binding upon the Vendor once the services or products are offered or delivered.
2. Vendor Registration & Eligibility
Vendors must complete the registration process with accurate and up-to-date information. The Vendor is responsible for ensuring they meet the Platform’s eligibility requirements, which include compliance with all applicable laws and regulations.
3. Scope of Services/Products
Vendors are authorized to provide services or products as agreed upon between the Vendor and the Platform. All products or services provided by the Vendor must meet the quality standards and specifications required by the Platform and comply with all applicable laws, including those related to safety, data protection, and intellectual property.
4. Payment Terms
Payments to the Vendor for services or products provided will be made based on the agreed-upon payment schedule. Payments will be made within a specified period after the delivery of services or products, subject to the receipt of an accurate and complete invoice. Invoices must clearly itemize services/products delivered, their corresponding prices, and any applicable taxes.
5. No Refund Policy
Unless explicitly stated otherwise, payments made to the Vendor for services or products are non-refundable once the services have been rendered or the products have been delivered.
6. Delivery & Performance Obligations
The Vendor agrees to perform services and deliver products according to the agreed timelines, quality, and specifications. Delays in delivery or failure to meet performance obligations may result in penalties or termination of the agreement, as specified in this contract.
7. Vendor Responsibilities
The Vendor agrees to:
Provide products or services that are of high quality and fit for the intended purpose.
Comply with all applicable laws, including data protection, privacy, and intellectual property laws.
Ensure that their products or services do not infringe upon the rights of any third party.
Maintain adequate insurance coverage for any potential liabilities arising from the provision of services or products.
8. Confidentiality & Data Protection
The Vendor agrees to keep all proprietary information, data, and trade secrets belonging to the Platform confidential and will not disclose any such information to third parties without the prior written consent of the Platform. The Vendor is also required to comply with all applicable data protection laws when handling personal data or sensitive information.
9. META Compliance
The Vendor must comply with all META’s rules and regulations when providing products or services related to WhatsApp Business API. The Vendor is responsible for ensuring compliance with META’s policies and guidelines. Any violations or actions taken by META that affect the Vendor’s products or services are not the responsibility of the Platform.
10. Warranty
The Vendor warrants that all products or services provided to the Platform will conform to the specifications, be free from defects, and perform as intended. In case of product defects or non-performance of services, the Vendor agrees to repair, replace, or re-perform the service at no additional charge to the Platform.
11. Service Support
The Vendor agrees to provide adequate support for the products or services delivered, including troubleshooting, bug fixes, and updates. Support will be provided at no additional cost, unless otherwise agreed.
12. Termination of Agreement
The Platform reserves the right to terminate the agreement with the Vendor for failure to meet the terms of this agreement, including non-compliance with applicable laws or failure to deliver services or products as promised. The Vendor may also terminate the agreement with written notice if the Platform fails to meet its obligations, such as payment terms.
13. Indemnification
The Vendor agrees to indemnify, defend, and hold harmless the Platform, its affiliates, officers, and employees from any claims, damages, or liabilities arising from the Vendor’s breach of these terms, including any legal costs incurred due to the Vendor’s negligence, misconduct, or failure to perform as per the agreement.
14. Limitation of Liability
The Platform is not liable for any indirect, special, or consequential damages arising from the Vendor's products or services. The Vendor’s liability is limited to the direct damages caused by their breach of contract or failure to deliver services/products in accordance with the agreement.
15. Governing Law & Dispute Resolution
These Vendor Terms and Conditions shall be governed by the laws of the United Arab Emirates. Any disputes arising between the Platform and the Vendor will be resolved through mediation or arbitration in Dubai, unless the parties agree otherwise.
16. Modifications to Terms
The Platform reserves the right to modify these Vendor Terms and Conditions at any time. The Vendor will be notified of any changes, and continued provision of services or products constitutes the Vendor’s acceptance of the revised terms.
